MHMGC Bylaws

Article 1.  NAME

     1.1  The name of this golf club shall be Mile High Men's Golf Club (MHMGC).

Article 2.  PURPOSE

     2.1  To promote interest in golf within the vicinity of the "Mile High City", Prescott, Arizona, by bringing together a group of golfers desirous of forming a golfing organization.

     2.2  To promote and foster among the members a closer bond and fraternity for their joint and mutual benefit, and to promote and conserve the best interests and true spirit of the game of golf as embodied in its ancient and honorable traditions.

     2.3  To promote golf etiquette and conform to the "USGA Rules of Golf" by creating a representative authority.

     2.4  To maintain a uniform system of handicapping as set forth in the USGA Handicap System and issue USGA handicap indexes to the members.

     2.5  To provide an authoritative body to govern and conduct club competitions.

Article 3.  Dues and Membership

     3.1  Membership shall be available to all male amateur golfers 18 years of age or older.

     3.2  Male persons qualifying in all aspects except age shall be eligible for a junior membership in this club. Dues and participation in club events shall be at the discretion of the board of directors.

     3.3  Only golfers with a reasonable and regular opportunity to play golf with fellow members and who can personally return scores for posting may be members and receive USGA handicap indexes from the club.

     3.4  Membership shall be a revolving year for each individual member.

     3.5 The fiscal year for the club will be January 1st through December 31st.

     3.6  In the event that any member of the club who commits any act that violates AZ law or otherwise reflects poorly on the integrity or moral character of the MILE HIGH MEN’S GOLF CLUB shall be subject to suspension or expulsion after ten days written notice by a vote of two-thirds of the board of directors at any regular meeting, or special meeting called for such purpose. That member will have the opportunity to plead his case before the Board of Directors any time within that 10 day window.

     3.7  All membership fees and dues shall be established by the board of directors, from time-to-time, in such amounts, as they deem adequate to operate and maintain the club. All monies collected shall accrue to the benefit of the membership.

     3.8  Annual dues will be due at the end of each member's individual revolving year.

     3.9 It is a rule that all scores must be posted no later than midnight on the day of play.

Article 4. Board of Directors

     4.1  The board of directors shall consist of a minimum of five, but no more than eleven members in good standing of the Mile High Men’s Golf Club and they shall exercise all powers of management of the club not specifically excepted by these bylaws. All directors shall be elected to a two-year term. Appointees to fill any vacancies will only serve out the remainder of the two-year term they are filling.

     4.2  Any member of the board absent more than two (2) meetings in succession shall be considered as resigned from the board, unless excused by the board. Any member of the board not performing in the best interest of the club may be replaced by board action. Such member shall be given proper notice of the action of the board and shall be allowed to appeal to the board if he so desires. The regular membership must be notified of such action through the next newsletter.

     4.3  At least four weeks prior to the annual meeting, this BOD shall submit to the general membership and shall post upon the club bulletin board and via email a list of nominees to fill any vacancies for the term of office beginning on the day of the annual meeting. Names of other members in good standing may be nominated prior to the annual meeting. At least one week prior to the annual meeting, a list of all candidates nominated shall be emailed to each member at their last known email address and a copy of such list shall be posted on the club bulletin board.

     4.4  Voting for a proposed and recommended list of officers shall be by yea or nay hand count at the Annual Meeting and those names receiving the greatest number of votes cast shall be declared to be elected.

     4.5  In the case of any vacancy to the board through death, resignation, disqualification, or other cause, the remaining directors, even though less than a quorum, may elect a successor by majority vote. The successor is to hold office for the unexpired term of the director, whose place shall be vacant and until the election of his successor.

Article 5.  Officers and Committees - Duties and Powers

     5.1  The President shall preside at all meetings of the board and the general membership, shall, under the authority of the board, conduct the business of the club, and shall enforce strict observance of these bylaws. The president shall appoint all committee chairmen. The president shall be an ex-officio member of all committees, as the president may deem necessary.

     5.2  The Vice-President, in the absence of the president, or in case of the inability of the president to act, shall then perform in his stead.

     5.3  The Secretary shall record the proceedings of the cluband be responsible for club mailings, and keep the record of the club, and act as recorder of all meetings of the board and at the meetings of the membership when elections are held.

     5.4  The Treasurer shall keep all funds of the club, maintain proper and comprehensive financial records, and make all authorized club disbursements by check signed by any two of the following officers, president, vice-president, secretary and treasurer. The finance committee shall audit the financial accounts annually. If there is a change within the year in the office of treasurer there shall also be an audit at that time.

     5.5  All Committees except as modified by the board of directors, shall function as recommended in the "USGA Golf Committee Manual".

     5.6  The Tournament Committee shall arrange and schedule with the management of any golf course as necessary, and conduct all intra-club and inter-club competitions. Also, the committee shall establish rules, regulations and competitor eligibility as required for club competitions and be responsible for settling rules disputes or interpretations.

     5.7  The Handicap Committee shall establish and administer handicaps for members in accordance with the "USGA Handicap System Manual". The committee will support the tournament committee by providing individual documentation used for the purpose of validating competitor eligibility.

     5.8  The Membership Committee shall investigate and act upon all applications for membership and recommend appropriate action to the board of directors. The membership committee will maintain the current roster of the MHMGC.

     5.9  The Finance Committee shall perform the audits of the financial records and advise on all financial matters such as dues, fees, and expenditures. An individual with authority to accumulate or disburse club funds shall not chair this committee.

     5.10 The Publicity Committee shall publicize the club news to both the membership and the news media, and especially encourage member participation in club meetings and events.

Article 6.  Compensation

     6.1  There shall be no monetary compensation for any of the officers or committeemen of the club. Board authorized expenses incurred by an officer or committeeman in the performance of his duties shall be submitted to the treasurer for reimbursement.

Article 7.  Meetings

     7.1  The annual meeting of the Mile High Men's Golf Club shall be at the end of the lunchon immediately after the Year End Tournament held in late October, or at any other time dictated by the BOD with proper notice given to the general membership through written email communication.. Notice of annual meetings shall be given not fewer than 10 or more that 50 days before each meeting. At such annual meetings there shall be a financial report, presentation of a budget summary for the current year, and such other business as shall come before the meeting may also be transacted. The annual voting for the members of the BOD will also be conducted as part of this meeting.Twenty club members, or more than fifty percent of the current membership, including duly executed proxies, will constitute a quorum for conducting the club's business.

      7.2  Meetings of the board of directors may be called at any time by the president, or by a minimum of two board members, provided at least twenty-four hours notice is given to all directors of the designated time and place of such meetings. It is expected that regular board meetings will be called at least quarterly. Club members who are not directors are encouraged to attend all such meetings, however members shall have no voice in the proceedings of the meeting. The presence of a majority of the board will constitute a quorum for conducting the club's business.

     7.3  Except for the MHMGC annual meeting, meetings for the regular membership of the club may be called at various times by the board for tournament or social purposes, or for general enlightenment of the membership regarding the proceedings of the board. These meetings shall be presided over by the president, but no official business shall be conducted.

Article 8. Competition

     8.1 All competition will be played from the Gold tees with the following exception:

8.1.1 On the North Course if a players age plus his course handicap from the Gold Tees equals 90 or more he is eligible to play from the Silver tees.

8.1.2 On the South Course if a players age plus his course handicap from the Gold Tees equals 90 or more he is eligible to play from the Silver tees. Anyone who whose age plus handicap index totals minimum of 100 may request to move to the White tees. 

8.1.3 If a player wishes to exercise this option he must request to do so through the Board of Directors. The tournament committee Chairman will make the change which will remain in effect until either the player requests moving back to the Gold tees, or automatically if he no longer qualifies. (I.E. reduction in handicap.)  

8.1.4 A player cannot change tee assignments based on type of format of tournament with exception of playing in the Club Championship which plays from the black tees, or tournaments where you can pick your own tees like Pick 6.

     8.2  Non Club players may play as guests in tournaments if sponsored by a current club member in a maximum of 2 events. After 2 events that player must join the MHMGC to continue playing in tournaments.

Article 9.  Amendments

     9.1  These bylaws may be repealed, or amended, or new bylaws adopted, by a two-thirds majority of the directors present at a duly constituted meeting, provided such change or amendment has been presented to all directors at least two weeks prior to the meeting wherein the vote will take place.
